Terms of Service

These terms apply when an organisation (“you”) uses DueBase, provided by DueBase (“we”, “us”). By creating an account or using DueBase, you agree to them on behalf of your organisation. If you have a signed agreement with us, that agreement takes precedence.
Your account
- You are responsible for the people you invite, the roles you give them, and keeping sign-in details secure.
- Tell us promptly if you believe your account has been accessed without permission.
- You must be authorised to accept these terms for your organisation.
Your content
Everything your organisation puts into DueBase — vendor records, documents, assessments and decisions — remains yours. You give us permission to host and process it only as needed to provide the service. Our handling of personal data in your content is described in the Data Processing Agreement.
You are responsible for having the right to upload the content you add, including documents received from your vendors, and for the contact details you give us to send requests to.
Acceptable use
You agree not to:
- use DueBase to break the law or infringe anyone’s rights;
- try to access another organisation’s data, or probe, disrupt or overload the service;
- upload malware, or use DueBase to send unsolicited messages;
- resell or provide DueBase to third parties without our agreement.
DueBase AI and your decisions
DueBase helps your team manage vendor compliance. AI suggestions, risk scores and reminders are aids to your judgement, not professional, legal or regulatory advice. Decisions about approving, qualifying or relying on a vendor remain your organisation’s responsibility.
Availability and changes
We work to keep DueBase available and secure, but we do not promise it will be uninterrupted or error-free. We improve DueBase over time and may change features; we will give reasonable notice before removing anything material you rely on.
Fees
Paid plans are billed as agreed in your order or plan. Unless agreed otherwise, fees are non-refundable, and we will give notice before any price change applies to you.
Ending the service
You can stop using DueBase at any time. We may suspend or end access for a serious breach of these terms, after notice where reasonable. After an account is closed you can ask us to export or delete your content; we delete it on request within 30 days, except where the law requires us to keep it.
Liability
To the extent the law allows, we are not liable for indirect or consequential losses, and our total liability for any claim is limited to the fees you paid us in the twelve months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.
General
These terms are governed by the laws of India. We may update them; material changes will be notified to account administrators before they take effect. Questions: hello@duebasehq.com.
